EXIT STRATEGIES
Our clients were selling a business, but as a medical cannabis dispensary in Maryland, there were additional hoops that made the sale more difficult. We negotiated terms of the purchase agreement with the buyer, and we negotiated with other owners within the business to mitigate risk. Ultimately, after about 12 months of negotiations, due diligence, and drafting and revising, we helped bring the sale across the goal line.
LOCAL LICENSING ISSUES
In Minnesota, some cities require licenses for businesses to sell hemp-derived cannabinoid products. One client was refused a license due to the city’s zoning restrictions. We worked with this client and when the city’s zoning restrictions changed, our client applied for and obtained a license. We helped push for the change in zoning restrictions that gave our client the opportunity to obtain a license.
CANNABIS-RELATED TRADEMARK PROTECTION AND LABEL REVIEWS
Because of the gray area in which the cannabis industry operates, obtaining trademark protection and enforcing trademark rights can be difficult. A client previously had counsel file trademark applications but those applications had expired. We came in to help this client obtain trademark registration for key elements of its business and took action to enforce its legal rights when a similar business opened and tried to use our client’s trademark. Moreover, we review drafts of cannabis product labels so that non-compliant content can be corrected before going to print.
