What Are Your Territory Rights?
When franchisors encroach on a franchisee’s territory, it can result in significant financial harm to the franchisee. This is why it is important to contact experienced franchise lawyers who know what to look for in these situations. Franchisors often reserve a number of rights that could result in a loss of territorial protections or exclusivity for franchisees. While franchisors do retain rights that could limit territorial protections or exclusivity, this does not necessarily give them the ability to encroach whenever they want. Ultimately, it depends on what the contract says, as well as whether the franchisor has complied with the contract.

While franchise agreement terms may seem to provide franchisors with unfettered expansion rights, some courts have held that even though a franchisee may not have a “protected territory” or a grant of “exclusivity,” that the franchisee is entitled to protection against predatory franchise encroachment that would injure the franchisee’s business.
