New York has one of the strongest franchise disclosure and registration laws in the United States, giving franchisees powerful legal tools to recover for bad faith dealing, breach of contract and tortious interference with business relationships. Among other things, it says:
- The franchisor may not mislead you, the franchisee, in any way, in connection with the sale of the franchise.
- The franchisor cannot make you sign away your right to sue the franchisor for misrepresentation in connection with the sale of the franchise.
- You can also sue the principal officers, directors and executives who participate in any kind of misrepresentation.
- A franchisee may recover for tortious interference when there is an intentional delay in the flow of product to the franchisee, and the franchisor is aware of ongoing relationships between the franchisee and customers who will be harmed as a result.
